Terms of Service

Welcome to Allied Parts Wholesale ("Allied Parts," "we," "us," or "the Company"). These Terms of Service ("Terms") govern your access to and use of alliedpartswholesale.com and our parts sourcing platform. By using our website, submitting a request, or signing up for a membership, you agree to these Terms. If you do not agree, do not use our services.

1. Description of Services

Allied Parts Wholesale operates an online B2B platform that connects wholesale auto parts buyers (independent repair shops, dealerships, fleet operators, body shops, powersports dealers, and similar businesses) with verified third-party suppliers. We act as an intermediary broker facilitating connections, request-for-quote (RFQ) submissions, and information exchange between buyers and suppliers. We do not directly manufacture, warehouse, or guarantee parts.

2. Eligibility

You must be at least 18 years old, a legal business representative, and authorized to enter into binding contracts on behalf of your company. By using our services, you represent that all information provided is accurate.

3. Membership Tiers and Fees

Membership tiers, features, and prices are described on the Membership page. Fees are billed monthly in advance. Membership benefits begin upon successful payment.

4. Cancellation and Refund Policy

Cancellation: You may cancel your membership at any time by emailing support@alliedpartswholesale.com or through your member dashboard. Cancellation takes effect at the end of the current monthly billing cycle. You will retain access to membership benefits until that date.

Refunds: Membership fees are non-refundable for the current and prior billing periods. We do not pro-rate refunds for partial months. Refunds may be issued at our sole discretion in cases of platform-wide service failure or billing errors.

Data on Cancellation: Upon cancellation, you lose access to wholesale pricing, the supplier directory, and member-only platform features. Your account data (RFQ history, contact info) is retained for up to 7 years per our Privacy Policy and may be deleted upon written request, subject to legal record-keeping obligations.

Failed Payment: If a payment fails, we will attempt to charge again within 7 days. If the second attempt fails, your membership will be suspended until payment is updated. Membership is automatically cancelled after 30 days of non-payment.

5. Payment Terms (Enterprise / Net 7–14)

Enterprise members and certain Pro Network members may qualify for Net 7 or Net 14 payment terms on parts orders processed through the platform. The following apply:

• Net terms must be approved in advance through a separate Member Agreement
• Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by Florida law
• Accounts past due 30+ days may be suspended, sent to collections, and reported to credit bureaus
• The Company is entitled to reasonable attorney fees and collection costs in the event of default

6. Buyer–Supplier Transactions

Allied Parts Wholesale is a broker. We facilitate connections but are not a party to any sale of goods between buyers and suppliers. The following limitations apply:

• Part Quality and Authenticity: Suppliers represent that parts are genuine OEM, aftermarket as labeled, or as otherwise described. The supplier of record bears responsibility for product warranties, returns, and authenticity claims.
• Disputes Between Buyer and Supplier: Disputes regarding part defects, returns, or shipping should be addressed directly with the supplier. Allied Parts Wholesale will assist in good-faith mediation but is not financially liable for transaction outcomes.
• Counterfeit Parts: If a buyer reports a counterfeit or grossly misrepresented part, the implicated supplier will be removed from the verified network pending investigation. We do not warrant supplier conduct beyond initial verification.
• Quote Approval: Once a buyer approves a quote in writing or through the platform, the order is binding on both parties. Cancellation after approval may incur fees set by the supplier.

7. Member Agreement

Membership is also governed by the additional terms in the Member Agreement, which is presented at signup and incorporated into these Terms by reference. In case of conflict between these Terms and the Member Agreement, the Member Agreement controls for membership-specific matters.

8. Intellectual Property

Our IP: All content on the website — including the Allied Parts Wholesale name, logo, branding, platform features (RFQ Engine, Dealer Dashboard, Price Comparison, etc.), software, and proprietary data — is owned by Allied Parts Wholesale and protected by U.S. and international copyright, trademark, and trade secret law. You may not copy, modify, distribute, scrape, or create derivative works without our written permission.

Your Content: You retain ownership of content you submit (RFQs, business info, quotes received). By submitting, you grant Allied Parts Wholesale a non-exclusive, royalty-free license to use that content to provide services, improve the platform, and create aggregated, anonymized analytics.

Pricing Data: Quotes and pricing information generated through the platform are confidential business information of Allied Parts Wholesale and the participating supplier. Members may not redistribute, publish, or share pricing data with non-members or competing platforms.

9. Trademark Disclaimer

Allied Parts Wholesale is an independent broker and is not affiliated with, endorsed by, sponsored by, or an authorized dealer of Honda Motor Co., Ltd., American Honda Motor Co., Inc., Toyota, Nissan, Acura, or any vehicle manufacturer mentioned on this site. All manufacturer names, product names, model numbers, and trademarks are property of their respective owners and are used solely for descriptive identification purposes. Use of these names does not imply affiliation or endorsement.

10. Prohibited Uses

You may not:

• Use the platform for any unlawful purpose
• Submit false business credentials or impersonate another party
• Reverse-engineer, decompile, or scrape the platform
• Resell access, share login credentials, or operate multiple memberships under different names to circumvent fees
• Interfere with the platform's operation or security
• Submit stolen, counterfeit, or grey-market parts as a supplier
• Use the platform to harass, defame, or harm another user

Violations may result in immediate termination without refund and legal action.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the service will be uninterrupted, error-free, secure, or that pricing or availability data is current. We do not warrant or guarantee any specific savings, supplier performance, or transaction outcome. Statistical claims on the website (member counts, savings averages, transaction volumes) are forward-looking goals or aggregate estimates and not guaranteed individual results.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLIED PARTS WHOLESALE'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS INTERRUPTION.

13. Indemnification

You agree to indemnify and hold harmless Allied Parts Wholesale, its officers, employees, and affiliates from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

14. Dispute Resolution and Governing Law

Governing Law: These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.

Informal Resolution: Before filing any formal dispute, the parties agree to attempt good-faith resolution by contacting legal@alliedpartswholesale.com.

Binding Arbitration: Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Broward County, Florida. Each party bears its own legal fees unless otherwise awarded by the arbitrator.

Class Action Waiver: All disputes must be resolved on an individual basis. You waive the right to participate in any class action or class-wide arbitration.

Court Jurisdiction: For any matters not subject to arbitration (such as injunctive relief), the parties consent to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida.

15. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any reason that endangers the platform or other members. Upon termination, your right to use the service ends immediately.

16. Changes to Terms

We may revise these Terms from time to time. Material changes will be communicated via email or a prominent platform notice at least 30 days in advance. Continued use after the effective date of revised Terms constitutes acceptance.
